By accessing and using the DesignDev website (www.designdev.co.in) and our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you must not use our website or services.

We reserve the right to modify these terms at any time. Continued use of our website and services after changes are posted constitutes your acceptance of the revised terms.

DesignDev provides digital services including, but not limited to:

• Website Design & Development
• UI/UX Design
• Search Engine Optimization (SEO)
• SaaS & Web Application Development
• Branding & Identity Design
• Technical Support & Maintenance

The specific scope, deliverables, timelines, and costs of any project will be outlined in a separate project proposal or agreement between DesignDev and the client. These Terms of Service apply in addition to any project-specific agreements.

When engaging our services, you agree to:

• Provide accurate, complete, and timely information required for your project
• Review and provide feedback on deliverables within agreed-upon timeframes
• Ensure that all content, materials, and assets you provide do not infringe on any third-party intellectual property rights
• Obtain necessary licenses or permissions for any third-party content used in the project
• Make timely payments as outlined in the project agreement
• Designate a primary point of contact for project communications

Our Intellectual Property

All content on the DesignDev website — including but not limited to text, graphics, logos, images, software, and design elements — is the property of DesignDev and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

Client Project Deliverables

Upon full payment of all project fees, intellectual property rights for custom deliverables created specifically for your project will be transferred to you, unless otherwise specified in the project agreement. DesignDev retains the right to showcase completed projects in our portfolio and marketing materials unless a non-disclosure agreement is in place.

Third-Party Components

Projects may incorporate open-source libraries, stock imagery, fonts, or third-party tools that are governed by their own licensing terms. DesignDev will inform you of any such components and their respective license requirements.

Payment terms are as follows, unless otherwise agreed upon in a project proposal:

• A non-refundable deposit (typically 30-50% of the project total) is required before work commences
• Milestone payments may be structured for larger projects
• Final payment is due upon project completion and before final deliverable handover
• Invoices are payable within 7 days of issuance unless otherwise specified
• Late payments may incur a fee of 1.5% per month on the outstanding balance
• All prices are quoted in INR (₹) unless otherwise stated

Estimated project timelines are provided in good faith based on the agreed scope. Timelines may be affected by delays in client feedback, content delivery, scope changes, or third-party dependencies.

Revisions included in the project scope will be specified in the project proposal. Additional revisions beyond the agreed scope may be billed at our standard hourly rate. Significant changes to the project scope after work has begun may require a revised proposal and adjusted timeline.

Either party may terminate a project engagement by providing written notice. In the event of cancellation:

• The initial deposit is non-refundable
• You will be invoiced for all work completed up to the cancellation date
• Any work-in-progress deliverables paid for will be provided to you
• Unused pre-paid amounts (beyond work completed) will be refunded within 15 business days

DesignDev strives to deliver high-quality work. However, our services are provided "as is" without warranties of any kind, either express or implied, unless specifically stated in a project agreement.

We do not guarantee specific results from our services, including but not limited to search engine rankings, traffic increases, or conversion improvements. SEO and digital marketing outcomes depend on numerous external factors beyond our control.

We provide a 30-day warranty period after project delivery during which we will address any bugs or issues related to the delivered work at no additional cost. This does not cover issues arising from modifications made by third parties or changes to external services/APIs.

To the maximum extent permitted by law, DesignDev shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or in connection with our services.

Our total liability for any claim arising from our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project. This obligation survives the termination of the business relationship. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party.

When using our website, you agree not to:

• Use the website for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to our systems or networks
• Introduce viruses, malware, or other harmful code
• Scrape, copy, or reproduce website content without permission
• Use the website in any manner that could impair its performance or functionality
• Misrepresent your identity or affiliation with any person or organization

These Terms of Service are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in India.
